Terms of Use

These Terms of Use ("Terms") govern your access to and use of DAWShare (the "Service"), which is operated by an individual sole proprietor ("Operator").

1. Acceptance of Terms

By accessing or using DAWShare, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Nature of the Service

DAWShare is a collaboration and file-sharing tool intended to assist users in sharing and collaborating on digital audio workstation (DAW) project files.

The Service is not intended to function as:

A backup service
A long-term storage solution
An archival or disaster-recovery system

3. No Warranty

The Service is provided "as is" and "as available."

To the maximum extent permitted under Japanese law, the Operator makes no warranties, express or implied, including but not limited to warranties regarding:

Continuous or uninterrupted availability
Accuracy or reliability of the Service
Data preservation or recoverability
Fitness for a particular purpose

The Operator does not guarantee that the Service will be error-free, secure, or free from data loss.

4. Limitation of Liability

To the maximum extent permitted by applicable Japanese law, the Operator shall not be liable for damages arising out of or related to your use of the Service, including but not limited to:

Loss, corruption, deletion, or unavailability of data or files
Inability to access or use the Service
Business interruption, lost profits, or lost opportunities

Where liability cannot be excluded under law, the Operator's liability shall be limited to direct and actual damages only, and shall not include indirect, incidental, or consequential damages.

5. Encryption and Data Access

Files uploaded to DAWShare are encrypted at rest on the server using server-managed encryption keys.

Encryption protects against unauthorized access to the storage system
The Operator has the ability to decrypt and access stored data for maintenance and support purposes
This is not end-to-end encryption; the server processes unencrypted data during upload/download
Collab members who have the invite code can access shared projects

Your login key grants access to your account. Keep it secure. If lost, contact an admin to reset it.

6. No Backup or Data Retention Guarantee

DAWShare does not guarantee data backup, retention, redundancy, or durability.

Data may be deleted, overwritten, corrupted, or lost at any time
Data loss may occur with or without prior notice
The Operator has no obligation to retain or restore data

7. User Responsibility

You agree that:

You are solely responsible for all data and content you upload or share
You will maintain your own local backups of all important files
You will not rely on DAWShare as your only copy of any project

If your data is important, you must back it up yourself.

8. File Security and Malware

DAWShare implements basic security measures to help protect users, including:

File type restrictions that block known dangerous file extensions (e.g., .exe, .dll, .sh, .bat)
Optional antivirus scanning of uploaded files when available

However, you acknowledge and agree that:

DAWShare is a file-sharing platform that facilitates collaboration between users
DAWShare does not originate, create, or modify the content of files shared through the Service
The source of any malware, virus, or malicious content is the user who uploaded such files, not DAWShare
No scanning system is 100% effective; some malicious files may evade detection
You are responsible for scanning files you download with your own security software

DAWShare is not liable for any damage, data loss, or harm caused by malware or malicious files shared among collaborators. The responsibility for infected files lies solely with the user who uploaded them.

9. Service Changes and Termination

The Operator may, at any time and without prior notice:

Modify or discontinue the Service, in whole or in part
Suspend or terminate access to the Service
Delete stored data

The Operator shall not be liable for any resulting loss.

10. Force Majeure

The Operator shall not be liable for failure or delay in performance due to events beyond reasonable control, including but not limited to natural disasters, power outages, network failures, governmental actions, or third-party service disruptions.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Japan.

Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable under applicable law, the remaining provisions shall remain in full force and effect.

13. Entire Agreement

These Terms constitute the entire agreement between you and the Operator regarding the use of DAWShare and supersede any prior agreements or understandings.
